Memorandum Of Agreement

KNOW ALL MEN BY THESE PRESENTS:

This Memorandum of Agreement made and entered into this 06 day of November 2008 by and among:

The ILOILO CITY GOVERNMENT, a local government unit of the Republic of the

Philippines with principal office at 3rd Floor Robinson’s Place Iloilo, Iloilo City, represented herein by the City Mayor, HON. JERRY P. TREÑAS, hereinafter referred to as the FIRST PARTY:


The ILOILO DINAGYANG FOUNDATION, INC., (IDFI) a duly registered non-stock, non-profit organization temporarily located at Dinagyang Lounge, Freedom Grandstand, Peralta Avenue, Iloilo City herein represented by its President, MR LEE CHUAN, hereinafter referred to as the SECOND PARTY, in cooperation with the AUGUSTINIAN FRIARS of SAN JOSE PARISH PLACER and COFRADIA DEL SENOR SANTO NINO DE CEBU, ILOILO CHAPTER; 

- WITNESSETH -

WHEREAS; the FIRST PARTY is cognizant of its role to promote the cultural, social, educational, economic and spiritual advancement of the people of Iloilo City;

WHEREAS; pursuant to the purposes of the Iloilo Dinagyang Foundation, Inc., the SECOND PARTY is mandated to promote tourism and investments in the City of Iloilo by institutionalizing the Dinagyang Festival and undertaking each year the Dinagyang celebration;

WHEREAS; in order to provide a formal institutional medium for initiating, sponsoring, organizing and/or financing the Dinagyang activities, the Iloilo Dinagyang Foundation, Inc., is hereby tasked as its principal sponsor in cooperation with the City of Iloilo, and the San Jose Parish;

NOW THEREFORE, for and in consideration of the foregoing premises and subject to the terms and conditions herein set forth, the parties have agreed as follows:
1.    The FIRST PARTY, authorizes as it hereby authorizes, the SECOND PARTY to organize, form committees, conduct and manage the 2009 Iloilo Dinagyang Festival scheduled on January 14-25, 2009;

2.    The FIRST PARTY shall allocate such amount as incentive allowance to the different participating Dinagyang and Kasadyahan tribes and for such other purposes as stage construction and decorations and for peace and order;

3.    The FIRST PARTY extends as it hereby extends, official recognition to all activities lined up for the celebration by the SECOND PARTY subject to prior consultation and approval with the FIRST PARTY and the pertinent Committee of the Sangguniang Panlungsod;

4.    The FIRST PARTY, grants as it hereby grants that all community activities during the period January 1-31, 2009, shall be exclusively for and officially run and endorsed by the SECOND PARTY thru the 2009 Dinagyang Festival Committee;
5.    The FIRST PARTY shall provide all necessary permits and license necessary for the celebration of 2009 Iloilo Dinagyang Festival;

6.    The FIRST PARTY, authorizes as it hereby authorizes the SECOND PARTY to solicit funds, donations, impose fees on advertisers and product promotions, collect fees from stallholders selling food and drinks, souvenir items, etc. at designated areas during the celebration; provided, that, these fees do not constitute an imposition prohibited by the law or ordinance or in conflict with the city tax collections; provided further that the SECOND PARTY shall invite and allow all companies or business establishments to participate in 2009 Iloilo Dinagyang Festival activities according to the rules and regulations set by the Iloilo Dinagyang Festival Executive Committee;

7.    The SECOND PARTY shall spend and disburse its fund for the celebration in accordance with the guidelines and activities of 2009 Iloilo Dinagyang Festival subject to applicable accounting and auditing procedures and a financial report shall be submitted to the FIRST PARTY provided further, that the same shall be furnished to the Sangguniang Panlungsod within one (1) month from the culmination of the festivities;
8.    Any or all proceeds from solicitations, fees, donations, etc. after deducting the expenses in the conduct of the Dinagyang shall accrue as trust for the Foundation to finance future Dinagyang activities;

9.    The FIRST PARTY thru the PNP and the other local police enforcement services shall provide security and maintain peace and order during the festival to be coordinated by the appropriate Iloilo Dinagyang Festival Committee designated for the purpose;

10.    The FIRST PARTY authorizes as it hereby authorizes the SECOND PARTY to call on and get assistance from any offices, units or instrumentalities of the City Government including its personnel to assist, promote and render services free of charge to the activities authorized to ensure the success of 2009 Iloilo Dinagyang Festival;

11.    The SECOND PARTY shall render services and provide resources to implement the objectives of 2009 Iloilo Dinagyang Festival on a primarily voluntary basis and both PARTIES shall be free from any moral, financial or legal claims arising out of the conduct of the festival except up to the extent heretofore provided;

12.    The FIRST PARTY shall provide all necessary support for the success of the Dinagyang celebration;

13.    The Iloilo Dinagyang Foundation, Inc. shall regularly update the Iloilo City council of the activities;

14.    The Iloilo Dinagyang Foundation, Inc. shall give equal access to all members of the media – international, national and local-purposely to maximize the media exposure and coverage of the festivities;

15.    This Agreement shall take effect upon signing hereto by the parties.

IN WITNESS WHEREOF, the parties have affixed their signature this 06 day of November 2008, in the City of Iloilo.
